“AI Agent” means a digital worker or automated agent created, configured, or deployed by a User through the AgentsHub platform, including its associated system prompt, tool integrations, knowledge bases, voice configuration, phone number, and video presence settings.
“AI-Generated Content” means any text, audio, video, images, code, data, or other output produced by or through the Services, including output generated by AI Agents.
“AgentsHub” means the AI agent creation and deployment platform operated by the Company, enabling Users to design, configure, and deploy AI workers.
“Company IP” means all intellectual property owned by or licensed to Bibha AI Labs Private Limited, including the Services, software, algorithms, models, designs, trademarks, trade secrets, and documentation.
“Content” means all text, data, images, audio, video, code, configurations, and other materials uploaded, submitted, or transmitted through the Services.
“Knowledge Base” means a collection of documents, data, and information uploaded by a User to inform and train AI Agents within AgentsHub.
“Multi-Agent Orchestration” means the capability of multiple AI Agents to collaborate, hand off tasks, and coordinate workflows within the AgentsHub platform.
“Services” means all products, platforms, applications, websites, APIs, and related services provided by Bibha AI Labs Private Limited, including TalentFlow and AgentsHub.
“Subscription Plan” means the pricing tier selected by a User (Free, Pro, or Enterprise) that determines the scope of access to the Services.
“TalentFlow” means the recruitment automation SaaS platform operated by the Company for staffing firms and HR teams, providing candidate sourcing, screening, scheduling, and placement services.
“Third-Party Services” means any external applications, tools, platforms, or services that integrate with or are accessible through the Services.
“User” or “you” means any individual or entity that accesses or uses the Services, including account holders, authorized users, and visitors.
“User Content” means any Content that a User uploads, submits, creates, or transmits through the Services.
“Visual Canvas” means the graphical interface within AgentsHub where Users design and manage multi-agent orchestration workflows.
3. Service Description
3.1 Overview
Bibha AI Labs Private Limited provides AI-powered workforce technology through two distinct platforms, accessible via https://bibha.ai and related domains.
3.2 TalentFlow
TalentFlow is a cloud-based recruitment automation SaaS platform designed for staffing firms and HR teams. TalentFlow provides:
Automated candidate sourcing and matching
AI-assisted candidate screening and evaluation
Interview scheduling and coordination
Placement tracking and management
Recruitment analytics and reporting
3.3 AgentsHub
AgentsHub is a cloud-based AI agent creation platform that enables Users to design, configure, and deploy AI workers (“digital employees”). AgentsHub provides:
Role Definition: Assign job titles, system prompts, and behavioral configurations to AI Agents
Tool Integrations: Connect AI Agents to 500+ external tools and services
Knowledge Bases: Upload organizational documents and data to inform AI Agent behavior
Voice Configuration: Configure AI Agents with voice capabilities, including accent and language selection
Phone Numbers: Assign dedicated phone numbers to AI Agents for inbound and outbound calls
Video Presence: Enable AI Agents with video presence for live video calls
Multi-Agent Orchestration: Design workflows on a visual canvas where AI Agents collaborate, hand off tasks, and coordinate with each other or with human team members
Multi-Channel Deployment: Deploy AI Agents across various communication channels
3.4 Service Availability
We strive to maintain continuous availability of the Services but do not guarantee uninterrupted or error-free operation. The Services may be subject to scheduled maintenance, updates, or temporary interruptions.
4. Eligibility
4.1 Age Requirement
You must be at least eighteen (18) years of age to use the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years old.
4.2 Legal Capacity
You represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Services does not violate any applicable law, regulation, or obligation.
4.3 Authority
If you are using the Services on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” refer to that entity.
4.4 Restricted Persons
You may not use the Services if you are:
Located in a jurisdiction where use of the Services would be prohibited by applicable law
Subject to sanctions administered by any governmental authority
Previously suspended or terminated from the Services by the Company
5. User Accounts
5.1 Registration
To access certain features of the Services, you must create an Account by providing accurate, complete, and current registration information. You agree to update your information as necessary to maintain its accuracy.
5.2 Account Credentials
You are responsible for safeguarding your Account credentials, including your password, API keys, and any other authentication tokens. You must not share your credentials with any third party.
5.3 Account Security
You agree to notify us immediately at info@bibha.ai if you become aware of any unauthorized use of your Account or any other breach of security.
5.4 Account Responsibility
You are solely responsible for all activity that occurs under your Account, whether or not authorized by you. The Company shall not be liable for any loss or damage arising from your failure to comply with the security obligations set forth in this section.
5.5 One Account Per User
Unless expressly authorized by the Company, each individual may maintain only one Account. The Company reserves the right to merge, suspend, or terminate duplicate accounts.
6. User Content and AI-Generated Content
6.1 Ownership of User Content
You retain all ownership rights in and to your User Content. By uploading, submitting, or transmitting User Content through the Services, you do not transfer ownership of such content to the Company.
6.2 License Grant to Company
By submitting User Content to the Services, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, process, and display your User Content solely for the purpose of:
Providing, maintaining, and improving the Services
Enabling your AI Agents to function as configured
Training and improving Company AI models (only if you opt in; see our Privacy Policy)
Complying with applicable laws and regulations
6.3 AI-Generated Content Ownership
Subject to your compliance with these Terms and your Subscription Plan:
Output generated by your AI Agents is owned by you, to the extent permissible under applicable law.
You acknowledge that AI-Generated Content may be similar to content generated for other Users. The Company does not guarantee the uniqueness or exclusivity of AI-Generated Content.
6.4 Responsibility for Content
You are solely responsible for:
All User Content you upload, submit, or transmit through the Services
All AI-Generated Content produced by your AI Agents
Ensuring that your Content does not violate any applicable law, regulation, or third-party right
Reviewing and verifying the accuracy of AI-Generated Content before relying on or distributing it
6.5 Content Removal
The Company reserves the right to remove or disable access to any User Content or AI-Generated Content that violates these Terms, without prior notice.
7. Intellectual Property
7.1 Company Intellectual Property
The Services, including all software, algorithms, AI models, machine learning systems, user interfaces, designs, graphics, documentation, trade secrets, and proprietary technology, are and shall remain the exclusive property of Bibha AI Labs Private Limited and its licensors.
7.2 Trademarks
“Bibha AI,” “Bibha AI Labs,” “TalentFlow,” “AgentsHub,” and all related logos, product names, service names, slogans, and trade dress are trademarks or registered trademarks of Bibha AI Labs Private Limited. You may not use these marks without the prior written consent of the Company.
7.3 User License
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes in accordance with your Subscription Plan.
7.4 Restrictions
You shall not:
Copy, modify, distribute, sell, lease, or sublicense any part of the Services
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
Remove, alter, or obscure any copyright, trademark, or proprietary notices
Use the Services to build a competing product or service
Scrape, crawl, or use automated means to extract data from the Services (except through approved APIs)
Frame or mirror any part of the Services without prior written consent
7.5 Feedback
If you provide suggestions, ideas, improvements, or other feedback regarding the Services (“Feedback”), you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without obligation to you.
8. Acceptable Use Policy
8.1 General Conduct
You agree to use the Services only for lawful purposes and in compliance with these Terms. You are responsible for ensuring that your use of the Services, including the behavior and output of your AI Agents, complies with all applicable laws and regulations.
8.2 Prohibited Conduct
You shall not, and shall not permit any third party to:
Illegal Activity: Use the Services for any unlawful, fraudulent, or deceptive purpose
Harmful Content: Generate, distribute, or facilitate content that is violent, threatening, harassing, defamatory, obscene, or that promotes hatred or discrimination
Spam and Abuse: Use the Services to send unsolicited communications, spam, phishing messages, or mass automated outreach in violation of applicable anti-spam laws
Impersonation: Impersonate any person, entity, or organization, or falsely claim an affiliation that does not exist
Deceptive AI Practices: Deploy AI Agents that misrepresent themselves as human when interacting with third parties, except where the AI nature is clearly disclosed
Data Harvesting: Collect, scrape, or harvest personal data of individuals without proper consent or legal basis
Malicious Software: Upload, transmit, or deploy viruses, malware, worms, trojan horses, ransomware, or any other malicious code
System Interference: Interfere with, disrupt, or impose an unreasonable burden on the Services, servers, or networks
Unauthorized Access: Attempt to gain unauthorized access to any part of the Services, other Users' accounts, or connected systems
Security Circumvention: Circumvent, disable, or interfere with security features of the Services, including rate limiting, authentication, or access controls
Regulatory Violations: Use the Services in a manner that violates applicable data protection, privacy, employment, telecommunications, financial, or consumer protection laws
Export Violations: Use or export the Services in violation of applicable export control or sanctions laws
Child Safety: Use the Services in any way that exploits, harms, or endangers minors
Automated Weapons: Use the Services to develop, operate, or control autonomous weapons or systems designed to cause physical harm
Surveillance: Use the Services for unlawful surveillance, tracking, or monitoring of individuals without their knowledge and consent
Circumventing Terms: Use technical means to circumvent usage limits, access restrictions, or other limitations imposed by your Subscription Plan
8.3 Enforcement
The Company reserves the right to investigate violations of this Acceptable Use Policy and to take appropriate action, including suspending or terminating your Account, removing Content, and reporting violations to law enforcement authorities.
9. AI Agent Specific Terms
9.1 User Responsibility for AI Agents
You are solely responsible for:
The configuration, behavior, and output of all AI Agents you create, deploy, or manage through AgentsHub
Ensuring that your AI Agents comply with all applicable laws, regulations, and these Terms
Monitoring and supervising the actions and communications of your AI Agents
Any decisions made or actions taken based on AI Agent output
9.2 AI Output Accuracy Disclaimer
AI Agents are not infallible. You acknowledge and agree that:
AI-Generated Content may contain errors, inaccuracies, biases, or hallucinations
AI Agents may produce unexpected, inappropriate, or incorrect outputs
The Company does not guarantee the accuracy, reliability, completeness, or suitability of any AI-Generated Content
You must independently verify AI-Generated Content before making decisions, taking actions, or distributing such content to third parties
AI Agents are not a substitute for professional advice (legal, medical, financial, or otherwise)
9.3 Prohibited AI Uses
Without limiting the general Acceptable Use Policy, you specifically shall not use AI Agents to:
Provide legal, medical, financial, tax, or other professional advice without appropriate human oversight and professional licensing
Make autonomous decisions regarding employment, credit, insurance, housing, or other high-stakes domains without human review
Generate content that infringes on the intellectual property rights of third parties
Conduct unauthorized automated calling, texting, or voice communications in violation of applicable telecommunications laws (including TCPA, TRAI regulations, and equivalent laws in your jurisdiction)
Impersonate real individuals without their explicit consent
Generate deepfakes, synthetic media, or manipulated content intended to deceive
Process sensitive personal data (health records, biometric data, financial data) without appropriate safeguards and legal basis
Manipulate, deceive, or psychologically exploit individuals
Engage in political campaigning, voter manipulation, or influence operations
9.4 AI Agent Phone and Voice Terms
If you configure AI Agents with phone numbers or voice capabilities:
You are responsible for compliance with all applicable telecommunications regulations
You must disclose the AI nature of the agent at the beginning of any voice or video interaction, unless doing so is not required by applicable law
You must comply with all applicable do-not-call and consent-to-record requirements
The Company may suspend voice or phone services if violations are detected
9.5 Knowledge Base Responsibility
You are responsible for ensuring that all materials uploaded to your Knowledge Bases:
Do not contain data you are not authorized to use
Do not infringe on third-party intellectual property rights
Comply with applicable data protection and privacy laws
Do not contain malicious content, illegal material, or sensitive personal data without appropriate safeguards
9.6 Multi-Agent Orchestration
When using multi-agent orchestration:
You are responsible for the collective behavior and output of all AI Agents in your orchestration workflows
You acknowledge that interactions between multiple AI Agents may produce emergent or unexpected behaviors
You must design appropriate human oversight mechanisms for complex multi-agent workflows
10. Third-Party Services and Integrations
10.1 Third-Party Integrations
The Services enable integration with 500+ third-party tools, platforms, and services (“Third-Party Services”). These include but are not limited to CRM systems, communication platforms, productivity tools, databases, analytics platforms, and cloud services.
10.2 User Responsibility
You are solely responsible for:
Your use of and compliance with the terms of service of any Third-Party Services you connect to the Services
Maintaining valid accounts and credentials for Third-Party Services
Ensuring that your use of Third-Party Services through the Services complies with the terms and policies of those third-party providers
Any data shared with or actions taken through Third-Party Services via the Services
10.3 No Endorsement
The availability of Third-Party Services through the Services does not constitute an endorsement, guarantee, or recommendation by the Company. The Company does not control and is not responsible for the availability, accuracy, security, or practices of Third-Party Services.
10.4 Third-Party Disclaimers
The Company shall not be liable for:
Any loss or damage arising from your use of Third-Party Services
The unavailability, modification, or discontinuation of any Third-Party Service
Any actions taken by your AI Agents through Third-Party Services
Data breaches, security incidents, or privacy violations occurring within Third-Party Services
10.5 API Usage
If you access the Services through APIs:
You must comply with the API documentation and rate limits
API keys and access tokens must be kept confidential
You may not use APIs to build competing products or services
The Company may modify, deprecate, or discontinue APIs with reasonable notice
11. Fees and Payment
11.1 Subscription Plans

Free Plan: Limited access to the Services at no charge, subject to usage limits
Pro Plan: Enhanced access with additional features, subject to monthly or annual subscription fees

11.2 Pricing
Current pricing is available at https://bibha.ai/pricing. The Company reserves the right to modify pricing with 30 days' prior written notice to affected Users.
11.3 Billing
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected
All fees are quoted and payable in the currency specified at the time of purchase
Payment is due upon invoice or at the time of subscription, as applicable
You authorize the Company to charge your designated payment method for all applicable fees
11.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies associated with your use of the Services, excluding taxes on the Company's net income.
11.5 Late Payments
Overdue payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. The Company may suspend access to the Services for accounts with outstanding balances.
11.6 Refunds
Refund requests must be submitted within 14 days of the billing date
Refunds are processed at the sole discretion of the Company
No refunds will be issued for partial months of service, unused features, or downgrades during a billing cycle
Enterprise plan refunds are governed by the applicable enterprise agreement
11.7 Free Plan Limitations
The Free Plan is provided at the Company's discretion. The Company reserves the right to modify, limit, or discontinue the Free Plan at any time without prior notice or liability.
12. Limitation of Liability
12.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BIBHA AI LABS PRIVATE LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12.2 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:
Any indirect, incidental, special, consequential, punitive, or exemplary damages
Loss of profits, revenue, business opportunities, data, or goodwill
Cost of procurement of substitute goods or services
Any damages arising from reliance on AI-Generated Content
Any damages resulting from unauthorized access to or alteration of your data
Any damages arising from Third-Party Services or integrations
12.3 Free Plan Limitation
IF YOU ARE USING THE FREE PLAN, THE COMPANY'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED FIFTY US DOLLARS (USD $50.00) OR THE EQUIVALENT IN LOCAL CURRENCY.
12.4 Essential Purpose
The limitations of liability set forth in this section shall apply even if any remedy fails of its essential purpose and regardless of whether the Company has been advised of the possibility of such damages.
13. Disclaimer of Warranties
13.1 As-Is Basis
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
13.2 Specific Disclaimers
THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Merchantability: Any implied warranty that the Services are fit for commercial sale
Fitness for a Particular Purpose: Any implied warranty that the Services will meet your specific requirements
Non-Infringement: Any warranty that the Services do not infringe upon the rights of third parties
Accuracy: Any warranty that the Services, including AI-Generated Content, will be accurate, reliable, complete, or error-free
Uninterrupted Service: Any warranty that the Services will be uninterrupted, timely, secure, or free of viruses or other harmful components
AI Performance: Any warranty regarding the quality, accuracy, reliability, or appropriateness of AI Agent behavior, AI-Generated Content, or multi-agent orchestration outcomes
13.3 No Professional Advice
The Services do not constitute professional advice of any kind. You should consult qualified professionals before making decisions based on AI-Generated Content, particularly in legal, medical, financial, or other specialized domains.
13.4 Jurisdictional Variations
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing disclaimers shall apply to the fullest extent permitted by applicable law.
14. Indemnification
14.1 User Indemnification
You agree to indemnify, defend, and hold harmless Bibha AI Labs Private Limited and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Services
Your User Content or AI-Generated Content produced by your AI Agents
Your violation of these Terms
Your violation of any applicable law, regulation, or third-party right
The behavior, output, or actions of AI Agents you create, configure, or deploy
Your use of Third-Party Services through the Services
Any claim by a third party that your AI Agents caused harm, loss, or damage
14.2 Indemnification Procedure
The Company will:
Promptly notify you of any claim subject to indemnification
Provide reasonable cooperation in the defense of such claim
Allow you to control the defense and settlement of such claim, provided that you do not settle any claim without the Company's prior written consent if such settlement would impose obligations on the Company
15. Termination
15.1 Termination by User
You may terminate your Account and these Terms at any time by:
Deleting your Account through the account settings in the Services
Contacting us at info@bibha.ai with a written termination request
15.2 Termination by Company
The Company may suspend or terminate your Account and access to the Services, in whole or in part, at any time and for any reason, including but not limited to:
Violation of these Terms or the Acceptable Use Policy
Non-payment of fees
Fraudulent, abusive, or harmful conduct
Extended inactivity (accounts inactive for more than 12 months)
Discontinuation of the Services or any feature of the Services
15.3 Effect of Termination
Upon termination:
Your right to access and use the Services will immediately cease
All AI Agents, configurations, and orchestration workflows associated with your Account will be deactivated
The Company may delete your User Content, Knowledge Bases, and Account data after a 30-day grace period, unless retention is required by law
All provisions of these Terms that by their nature should survive termination shall survive, including Sections 6 (ownership), 7 (IP), 12 (limitation of liability), 13 (disclaimers), 14 (indemnification), 16 (governing law), and 17 (dispute resolution)
15.4 Data Export
You may export your User Content prior to termination, subject to the capabilities of the Services and your Subscription Plan. The Company is not obligated to maintain or provide your data after the grace period following termination.
16. Governing Law and Jurisdiction
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
16.2 Jurisdiction
You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts of competent jurisdiction located in Bangalore, Karnataka, India.
16.3 Consent to Jurisdiction
By using the Services, you irrevocably consent to the personal jurisdiction of the courts of Bangalore, Karnataka, India, and waive any objections to venue or inconvenient forum.
17. Dispute Resolution
17.1 Good Faith Negotiation
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”), the parties shall first attempt to resolve the Dispute through good faith negotiation for a period of thirty (30) days from the date of written notice of the Dispute.
17.2 Mediation
If the Dispute is not resolved through negotiation, the parties agree to attempt to resolve the Dispute through mediation administered by a mutually agreed upon mediator in Bangalore, Karnataka, India. The costs of mediation shall be shared equally between the parties.
17.3 Litigation
If the Dispute is not resolved through mediation within sixty (60) days of the mediation request, either party may pursue resolution through the courts as set forth in Section 16 (Governing Law and Jurisdiction).
17.4 Injunctive Relief
Despite the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
18. Modifications to Terms

The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion.
